Formello, 7th July 2025 – Rebirth S.p.A. (ISIN Code: IT0005460081 – Ticker: ALREB), a dynamic company, specialized in the development, innovation and management of real estate assets, listed on the Euronext Growth Paris market, announces that it has received news from the shareholders of Sorgiva S.p.A. and PFH S.r.l. that, as part of the broader sale of their stake in Health Italia S.p.A. to a club deal led by Giovanni Giuliani and Stefano Pellegrino, have signed preliminary purchase and sale agreements for the purchase of shares in Rebirth S.p.A..
The transaction has already been made public with a press release also from the company Health Italia S.p.A. and will consist in detail:

• PFH S.r.l. Acquire:
  • n. 679.101 ordinary shares (ISIN IT0005460081)
  • n. 69.958 special category shares (ISIN IT0005624827)
• Sorgiva S.p.A. Acquire:
  • n. 109.105 ordinary shares (ISIN IT0005460081)
  • n. 220.609 special category shares (ISIN IT0005624827)

Upon completion of the sale of the shareholding in the introduction, which is expected to be completed by the end of July, the percentages of the shareholding of the aforementioned shareholders in Rebirth S.p.A. will be updated as follows:

• Sorgiva S.p.A. will hold a stake equal to 32.83% of the share capital;
• PFH S.r.l. will hold a stake equal to 8.10% of the share capital, thus exceeding the materiality threshold of 5% pursuant to current legislation.

And the corporate structure will undergo the following changes:

Note (1) Massimiliano Alfieri has contributed his shares to Sorgiva Holding S.p.A., a company in which he holds 65.12%
Note (2) The 606,417 shares of Rebirth S.p.A. that will remain with Health Italia S.p.A. following the execution of the contracts referred to in this press release are all special category shares, with a lock-up of 24 months from the date of listing of Rebirth S.p.A. on the Euronext Growth Paris market. These shares are linked to the distribution of the dividend in kind in Rebirth S.p.A. shares carried out by Health Italia S.p.A., in the portion for which the company has not received feedback on the acceptance or not by the shareholders concerned, shares that will therefore remain available to those entitled for 5 years from the exdividend
date.
