Formello, 11 September 2025 – Rebirth S.p.A. (ISIN Code: IT0005460081 – Ticker: ALREB), a dynamic company, specialized in the development and management of real estate assets, listed on the Euronext Growth Paris market, announces that it has received communications of substantial change in the shareholding from significant shareholders, in particular:

• The shareholder Sorgiva Holding S.p.A. as a result of the execution of the sale and purchase agreements for the purchase of 109,105 ordinary shares and 220,609 special shares of Rebirth S.p.A., signed as part of the broader sale of their stake in Health Italia S.p.A. to a club deal led by Giovanni Giuliani and Stefano Pellegrino, referred to in a previous press release, announced that it holds a total amount of shares equal to 8,301,846, equal to 36.04% of the share capital of Rebirth S.p.A.;
• The shareholder PFH S.r.l. as a result of the execution of the sale and purchase agreements for the purchase of 679,101 ordinary shares and 69,958 special shares of Rebirth S.p.A., signed as part of the broader sale of their stake in Health Italia S.p.A. a club deal led by Giovanni Giuliani and Stefano Pellegrino, referred to in a previous press release, announced that it holds a total amount of shares equal to 2,137,866, equal to 9.28% of the share capital of Rebirth S.p.A.;
• The shareholder Health Italia S.p.A., as transferor of most of the shares of Rebirth S.p.A., transferred pursuant to the aforementioned agreements, announced that it holds a total amount of shares equal to 654,422, equal to 2.84% of the capital, and therefore falls below the materiality threshold of 5%.

On the basis of the information available, the current shareholding structure of Rebirth S.p.A. is therefore as follows:
