The new resolution approved by the Board of Directors amended the methods and terms of execution of the capital increase resolved on 22 January 2026.<\/p>\n<p>The capital increase will still be in cash, <strong>divisible<\/strong>, for a maximum amount of <strong>\u20ac 6,392,914<\/strong> with <strong>a share premium of \u20ac 3,487,044<\/strong>, through <strong>the issue of a maximum number of 2,905,870 newly issued ordinary shares<\/strong> having the same characteristics as those in circulation at an <strong>issue price of \u20ac 2.2, including the share premium<\/strong> for <strong>euro 1.2<\/strong>. Pursuant to art. 2441, paragraph 5, of the Italian Civil Code, the Board of Directors also resolved to exclude the option right. The capital increase will be reserved for subscription by strategic investors within 60 days of the publication of the minutes of the aforementioned Board of Directors in the Register of Companies.<\/p>\n<p>The capital increase, in line with the original one, remains aimed at <strong>strengthening the Group&rsquo;s capital structure<\/strong> and supporting the acceleration of the main real estate and hospitality development projects in Italy and Spain.
