The new resources will also allow the Company to seize additional investment opportunities consistent with the Company&#8217;s strategic positioning.<\/p>\n<p>The capital increase will be <strong>divisible <\/strong>for a maximum amount of <strong>\u20ac2,905,870<\/strong> with <strong>a share premium of \u20ac3,487,044<\/strong> through <strong>the issue of a maximum of 2,905,870 newly issued ordinary shares<\/strong> having the same characteristics as those in circulation at an <strong>issue price of \u20ac2.2, including a share premium<\/strong> of <strong>\u20ac1.2<\/strong> and can be subscribed by shareholders and new investors.<\/p>\n<p>The <strong>option right due to shareholders<\/strong> must be exercised within <strong>30 days from the registration<\/strong> of the capital increase resolution in the <strong>Register of Companies.<\/strong><\/p>\n<p><strong>Within the month following<\/strong> the expiry of the aforementioned term, <strong>the option rights<\/strong> not exercised by the shareholders will be <strong>offered to the market for two sessions<\/strong>, unless the option rights have already been sold in full.<\/p>\n<p>At the end of this period, any <strong>part<\/strong> of the capital increase that has remained <strong>unopted<\/strong> by the shareholders is <strong>offered for subscription to third parties<\/strong>, who will have a <strong>term of 60 days from the date of notice<\/strong> from the administrative body, with means to ensure its appropriate dissemination.<\/p>\n<p>The objective of the capital increase is to <strong>expand the shareholder base<\/strong> and accompany a growth phase characterized by greater operational scale, management efficiency and value creation in the medium to long term.<\/p>\n<p>&#8220;This transaction represents a key step in Rebirth&#8217;s development path,&#8221; commented the Board of Directors. &#8220;Strengthening capital is an essential tool to support projects that are already under construction, increase the Group&#8217;s financial resilience and create the conditions for solid and sustainable growth for the benefit of all stakeholders.&#8221;<\/p>\n<p>Further details on the terms and operating conditions of the capital increase will be communicated in accordance with the procedures provided for by applicable legislation.<\/p>\n<p><a href=\"https:\/\/www.re-birth.it\/wp-content\/uploads\/2026\/01\/Rebirth_Press-Release-2026-Capital-Increase-ENG.pdf\" rel=\"noopener\" target=\"_blank\">Read the full press release<\/a><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Formello, 26 January 2026 \u2013 Rebirth S.p.A.
